2. Account Registration & Security

To use our services, you must register an account by providing accurate, complete, and updated information.

• Credential Confidentiality: You are responsible for safeguarding your username, password, and multi-user branch credentials. You must immediately notify us of any suspected security breach or unauthorized access.
• Authorized Access: You are fully responsible for all activities, sales transactions, and stock adjustments executed under your account credentials.
• Eligibility: The Service is intended exclusively for commercial business operators aged 18 or above who possess legal capacity to enter contracts.

5. Acceptable Use Policy & User Conduct

You agree to use the Service strictly in compliance with all applicable laws and regulations. You shall NOT:

• Use the Service to record illegal trade, prohibited goods, or fraudulent financial activities.
• Attempt to bypass security controls, probe system vulnerabilities, or gain unauthorized access to other tenants' data.
• Inject viruses, malware, worms, automated scrapers, or disruptive scripts into our network infrastructure.
• Resell, sublicense, or rent the software service to third parties without prior written consent from the Company.

6. Service Availability & Maintenance

We strive to maintain 99.9% uptime for our cloud infrastructure. However, the Service may occasionally experience downtime for scheduled system maintenance, software upgrades, or emergency security patches. We make reasonable efforts to announce scheduled maintenance windows in advance. We are not liable for temporary service interruptions caused by third-party Internet service outages, cloud provider disruptions, or client hardware failures.

7. Data Backups & Business Continuity

We implement automated daily database backups and multi-zone data redundancy to safeguard business continuity. While we take enterprise precautions against data loss, you are advised to maintain periodic offline ledger exports and review account statements regularly.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall PasalKhata Business Solutions, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of business profits, goodwill, data loss, or business interruption — arising out of or in connection with your use or inability to use the Service.

Our aggregate liability for all claims arising under this Agreement shall not exceed the total subscription fee paid by you to PasalKhata during the twelve (12) months preceding the incident giving rise to the claim.

9. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Nepal, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms shall first be attempted to be resolved amicably through good-faith mutual negotiations. If unresolved, disputes shall be subject to the exclusive jurisdiction of the competent courts located in Kathmandu, Nepal.

10. Modifications to Terms

We reserve the right to revise or update these Terms at our discretion. Any modifications will be posted on this page with an updated effective date. Continued use of the Service following the publication of revised Terms constitutes your acceptance of the updated Agreement.
